CONTEST RULES

1.  Artist and Producer Rules From time to time, Kvibe Productions, LLC (“Kvibe.com”) will sponsor competitions that will be introduced by competition announcements. Other times, sponsors from different companies will sponsor or host competitions that will be introduced by competition announcements. The following rules are intended to supplement provisions contained within the individual competition announcements, as well as the Terms of Service and Artist Agreement.

SECTION ONE -- ELIGIBILITY REQUIREMENTS

1.1 Eligibility Competition is open to amateur and professional artists throughout the world. Entries must be received no later than the date indicated on the competition announcement.

SECTION TWO -- SUBMISSIONS

2.1 Entrance Fees The entry fee is posted on the web site at the time of the competition. During our first few months of our initial contests hosted by Kvibe, all entry fees are “FREE”. However, in the future, there will be entry fees hosted by Kvibe or outside sponsors. In cases of entry fees, the entrance fee is nonrefundable. Kvibe is not responsible for late, lost, damaged, misdirected, postage due, stolen, or misappropriated entries.

2.2 Form of Submissions Each song submitted must be the CONTESTANT’S ORIGINAL WORK unless otherwise stated in the rules for a specific competition. Contestants may submit only “One” song per contest category. If the contest requires an entrance fee, then a one time payment of posted entrance fee will be required for participation in the contest.

2.3 Co-contestants Collaborative work is accepted, but all prizes will be awarded to the first contestant named on the application. Division of prizes among co-contestants is the sole responsibility of winners.

2.4 Winner Selection is Determined by Voting The at-large public will have the opportunity to vote for songs during the competition. These winners will be selected via an online poll of “Yes” or “No”. The methodology for this averaging system will be at the sole discretion of Kvibe.com. The contestant whose submission receives the most qualified votes online shall be declared the winner of the contest category.

2.5 Activity Points Any registered users will have a statistic of “Activity Points”. Activity points are used to help contestants receive quality votes from quality critics. Activity points are generated by the amount of times a registered user participates in rating and/or writing reviews for songs listed on an Artist and Producers profiles. Reviews are monitored by the Kvibe staff and if found abusive for the purpose of obtaining more Activity points, Kvibe reserves the right to take appropriate action.

2.6 Ties In the event of a tie, Kvibe reserves the right to determine the winner of the contest using other statistics to determine the popularity of the song.

2.7 Winner Notification Winners will be notified by the email address provided and must sign and an affidavit of eligibility/recording rights/publicity release within fourteen (14) days of notification date. The affidavit will state that winner’s song is an original work and that he or she holds all rights to the song or is a cover of a licensed song and is identified as such in the submission. Failure to sign and return this affidavit within fourteen (14) days or the provision of false/inaccurate information therein will result in immediate disqualification and an alternate winner will be selected. Affidavits of winners under eighteen (18) years of age at time of award must be countersigned by parent or legal guardian. Affidavits are subject to verification by Kvibe Productions, LLC.

2.8 Acknowledgment of Proprietary Rights Contestants retain all rights to their songs and lyrics unless otherwise mutually agreed.

2.9 Fraud Kvibe Productions, LLC reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the competition or to be acting in violation of the Official Rules or in an unsportsmanlike or disruptive manner. Moreover, any attempt by any person to deliberately damage Kvibe Productions web site or undermine the legitimate operation of the competition may be in violation of criminal and civil laws and, should such an attempt be made, Kvibe Productions reserves the right to seek damages from any such person to the fullest extent permitted by law. Kvibe Productions failure to enforce any term of the Official Rules shall not constitute a waiver of this provision.

SECTION THREE – PRIZES

3.1 Prizes hosted by Kvibe Productions, LLC Prize Winners will receive the prizes as set forth in the competition announcement. In the event a prize is not available due to circumstances beyond the control of Kvibe Productions, Kvibe Productions reserves the right to provide a substantially similar substitute prize that Kvibe Productions deems to be of greater or equal value.

3.2 Prizes hosted by Other Sponsors (Not Kvibe Productions, LLC) Kvibe is not responsible for any prizes not awarded by the sponsor. The sponsor is responsible for fulfillment of all prizes.

3.2 Taxes Winning contestants are solely responsible for all federal, state, and local taxes and fees associated with prize receipt and use. Kvibe Productions will withhold and report taxes as required by law.

SECTION FOUR -- GENERAL INFORMATION RULES

4.1 Terms and Conditions Binding By submitting an entry to this competition, contestants agree to be bound by the rules of this competition and the decisions of the panel of judges or tally of the online votes, which shall be final and binding. Entry also constitutes permission to use contestants’ names, likenesses, and voices for future advertising and publicity purposes without additional compensation.

4.2 Cancellation of Competition Kvibe Productions reserves the right to cancel the competition if fraud, technical failures or any other factor beyond Kvibe Productions reasonable control impairs the integrity of the competition, as determined by Kvibe Productions in its sole discretion.

4.3 Modification of Terms Kvibe Productions reserves the right to extend, at its discretion, the end date of a competition up to sixty additional days. Any changes in end dates will be posted on the web site.

4.4 Disclaimer of Liability Kvibe Productions and each of its parent companies, affiliates, subsidiaries, directors, officers, employees, licensees/licensors, representatives and agents, disclaims any and all liability whatsoever for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the competition or with the acceptance, possession or use of any prize (including, without limitation, claims, costs, injuries and losses related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light).

4.5 Release of Liability Except where prohibited by law, by entering, contestants release Kvibe Productions and each of its parent companies, affiliates, subsidiaries, licensees/licensors, directors, officers, employees, representatives and agents, from any and all claims, actions, injury, loss or damage of any kind resulting from or arising directly or indirectly out of each contestant’s participation in this competition and/or from the acceptance or use of the prize awarded.

4.6 Governing Law Void where prohibited. The laws of the State of New Jersey and the United States of America apply to and govern this competition, including but not limited to any applicable taxes for prizes. Except where prohibited, participants agree that any and all disputes, claims and causes of action arising out of or connected with the competition shall be resolved exclusively by arbitration pursuant to the Rules of the American Arbitration Association then effective, and any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred by participant with regard to the competition, but no attorneys’ fees, punitive, incidental, consequential or other damages. Any claims or actions in connection herewith must be brought in New Jersey. Rules and regulations are subject to change at Kvibe Productions’s discretion.

4.7 Severability If any portion of these competition rules is deemed void or unenforceable, then that portion shall be deemed severable from these competition rules and shall not affect the validity and enforceability of the remaining provisions.
